This is a contract interpretation case, the issue being whether the buyer of a software company's assets assumed liability for a contractual obligation between the seller and the company's former salesperson. The salesperson sued both buyer and seller, who cross-claimed against each other. The trial court granted summary judgment to the buyer against both the salesperson and the seller, and denied the salesperson's motion for partial summary judgment...
