MEMORANDUM OPINION & ORDER

Before the Court is Defendants' Rule 12(b)(6) motion (Dkt 13) to dismiss Plaintiff's amended complaint (Dkt. 12). For the reasons set forth below, Defendants' motion is GRANTED IN PART and DENIED IN PART.
