MEMORANDUM AND ORDER

PETER G. SHERIDAN, District Judge.

This matter comes before the court on defendant, Ti-Ba Enterprises, Inc.'s motion to dismiss plaintiffs complaint pursuant to Fed. R. Civ. P. 12(b)(2), 12(b)(6), and 12(b)(7) [ECF No. 4]. For the reasons that follow, defendant's motion to dismiss is granted without prejudice, and plaintiff is granted leave to file an amended complaint.
