This securities class action was brought by individuals who sold their shares of Sunglass Hut, Inc. ("Sunglass Hut") to Shade Acquisition Group ("Shade Acquisition"), pursuant to a tender offer made in March of 2001 as part of a two-step merger between Sunglass Hut and Luxottica Group S.p.A.
