Misfeldt have pled guilty to engaging in a criminal conspiracy to violate Securities Exchange Act of 1934 (the "Act") Section 10(b), 15 U.S.C. §§ 78j(b), and Securities and Exchange Commission ("SEC") Rule 10b-5.
