This case arises out of the termination of a distributorship agreement (the "Agreement") between Delmarva Sash & Door Co. of Maryland, Inc. ("Delmarva") and Andersen Windows, Inc. ("AW"). AW manufactures millwork products, including windows and doors, and Delmarva, until the Agreement was terminated by AW in October 2001, was a distributor of AW's products in Maryland, Delaware, and Virginia.
