¶ 1 This case arises out of certain agreements between the defendant-appellees City of Orem, Utah (the "City"); the Woodbury Corporation ("Woodbury"), which owns the University Mall in Orem; and Zions Cooperative Mercantile Institution ("Z.C.M.I."), referred to collectively as "the Orem City defendants."
