On June 28, 1996, Integrated Network Services, Incorporated ("INS") merged with INS Acquisition Company, the wholly owned subsidiary of VSI Enterprises, Incorporated ("VSI"). The INS shareholders received VSI shares as a result of the merger. Appellants are VSI and INS Acquisition Company.

Following the merger, INS delivered to its shareholders a notice explaining their right to dissent to the merger...
