I. INTRODUCTION

This is a diversity of citizenship action in which Maryland law is controlling. The plaintiffs' claims for equitable relief and damages arise out of a series of unsuccessful entrepreneurial efforts, and are grounded upon allegations of mismanagement, self-dealing and outright dishonesty.
