FINCH, District Judge:

THIS MATTER comes before the Court on plaintiffs' motion for a preliminary injunction. The parties presented evidence and arguments to this Court on October 3-4, 1995. As plaintiffs claim that defendants violated proxy rules promulgated by the Securities and Exchange Commission pursuant to 15 U.S.C. § 78n, this Court has jurisdiction over this matter pursuant to 48 U.S.C. § 1612, 28 U.S.C. § 1331...
