This case comes before the court on Kimbrells' motion for partial summary judgment. (Doc. 234) The motion seeks summary judgment on Professional Service Industries, Inc.'s (PSI) claims under § 10(b) of the Securities Exchange Act of 1934, 15 U.S.C. § 78j(b), and Rule 10b-5, 17 C.F.R. § 240.10(b)(5), as well for fraud under state common law.1
