BACKGROUND

This order is issued pursuant to defendants' motion to dismiss two of plaintiffs' seven claims for failure to state a claim upon which relief may be granted (Fed.R. Civ.P. 12(b)(6)) and defendants' motion to dismiss the entire action for lack of subject matter jurisdiction (Fed.R.Civ.P. 12(b)(1)).
