CONBOY, District Judge:

This is an action brought by investors in international certificates of deposit issued by a corporation with which the defendants were associated. Plaintiffs claim that they, and other purchasers of the certificates, are the victims of fraud perpetrated by the defendants in the marketing of the certificates in question.
