MEMORANDUM AND ORDER

Currently before the court is defendants' motion to dismiss count II of plaintiffs' complaint, which asserts a cause of action pursuant to section 12(2) of the Securities Act of 1933. See 15 U.S.C. § 771(2).1 For the reasons that follow, defendants' motion will be denied.
