Plaintiffs Clifford Carter and Herbert Brough filed this four-count class action against the defendants charging in three counts violations of the Employment Retirement Income Security Act ("ERISA"), 29 U.S.C. § 1001 et seq., and in one count violation of Section 10(b) of the Securities Exchange Act, 15 U.S.C. § 78j, and SEC Rule 10b-5.
