Plaintiffs commenced this diversity action for a declaratory judgment that they owe no finder's fee to defendants. Defendants counterclaimed in contract, quantum meruit and fraud for judgment of $420,000 on each claim as well as $1,000,000 in punitive damages under the fraud claim.
