MEMORANDUM DECISION AND ORDER

The plaintiff has moved to dismiss the defendants' counterclaim. Because matters outside the pleadings were presented, the Court has converted the motion to one for summary judgment. Both sides have been given the opportunity to present materials pertinent to a summary judgment motion. The basis for the motion is that the statute of limitations bars the counterclaim.
