BROTMAN, District Judge.

Plaintiffs bring this derivative action under the court's diversity jurisdiction, 28 U.S.C. § 1332. Defendants move to dismiss plaintiffs' petition for failure to state a claim pursuant to Federal Rule of Civil Procedure 12(b)(6). Defendants also move, in the alternative, to stay this proceeding pending the disposition of a similar action in the Delaware Chancery Court. The court heard oral argument on these motions...
