This is a suit for breach of contract. Burton Shipyard, Inc. agreed to construct four ocean-going vessels for Aquamarine Associates. When Burton breached the contract, Aquamarine elected to "cover" by purchasing substitute vessels and then sued Burton and its president, J.C.
