MEMORANDUM OF DECISION

McGLYNN, District Judge.

This matter is before the Court on cross-motions for summary judgment. For the reasons hereinafter stated the plaintiffs' motion will be denied and the defendants' motion will be granted.

The basic facts are undisputed and are as follows:
