This appeal, from two orders of the Circuit Court for Anne Arundel County, was entered in the Court of Special Appeals. We granted certiorari before the matter came on for hearing in that court.

The genesis of the dispute came about when Edgar H. Paglee and Roger D. Bonney, each the owner of 50% of the stock of Roged, Inc. (Roged, or the Company), a company engaged in the business of selling and leasing materials...
