This suit was filed pursuant to 28 U.S.C. § 2201, alleging that the sale by Warnaco of one of its subsidiaries constituted a fraud upon the plaintiff and wilful interference with the business relationship between him and the subsidiary, and seeking a Declaratory Judgment from this Court of the rights and responsibilities of the parties, arising from the transactions here in question.
