This is an action charging defendants with violations of federal securities laws and common law principles regarding misrepresentations and material omissions allegedly made by defendants to plaintiffs in connection with a 1969 acquisition by defendant B. T. Babbitt, Inc. ("BTB")1 of the stock in three companies owned by plaintiff.
