On September 29, 1967, a franchise agreement for the sale of certain products of Reed-Joseph Company (REED), a Mississippi corporation, by the defendants C. Henry Cowen, Jr., Clifton M. Dupont, Wilson J. Baronet, Louisiana citizens, and Farm Storage and Equipment Company, Inc. (FARM STORAGE), a Louisiana corporation, was confected.
