This is an appeal from a decree entered on the pleadings. Plaintiffs filed an amended complaint which sought injunctive or in the alternative declaratory relief against the sale by defendants of 149,750 shares of American Rubber and Plastics Corporation stock without first offering the stock to plaintiffs.
