Though the documentary evidence and the affidavits submitted by defendants are persuasive, there remain issues of fact: (1) As to whether the alleged ratifications are unavailing because of alleged misrepresentations made by defendant Evans in connection with prices and increases in prices which constitute the overcharges complained of; and (2) as to whether the settlement in respect of losses on defective merchandise was induced by fraud.
