Memorandum Findings of Fact and Opinion

LEECH, Judge:

This proceeding involves a deficiency in income tax for the calendar year 1941 in the amount of $1,489.12, and deficiencies in excess-profits taxes for the years 1941 and 1942 in the respective amounts of $3,807.35 and $13,994.16.

The only issue submitted is the reasonableness of the compensation paid by petitioner to its two principal officers in the respective taxable periods. The case was submitted...
